Terms of Service for EchoSOS

1. Acceptance of Terms

By accessing or using EchoSOS, you agree to be bound by these Terms of Service.

2. Description of Service

EchoSOS provides an online platform connecting qualified cardiac imaging professionals with healthcare facilities seeking temporary, relief, contract, or other staffing services.

EchoSOS is not an employer of healthcare professionals unless expressly stated in a separate written agreement.

3. Eligibility

Users must be at least 18 years old and legally able to enter into binding agreements.

Healthcare professionals are responsible for maintaining all required licenses, certifications, registrations, and work authorization.

4. User Accounts

Users agree to:

  • Provide accurate information.
  • Keep login credentials secure.
  • Promptly update profile information.
  • Notify EchoSOS of unauthorized account access.

Users are responsible for all activity occurring under their accounts.

5. Professional Responsibilities

Healthcare professionals agree to:

  • Maintain valid credentials.
  • Comply with applicable laws and professional standards.
  • Provide accurate availability information.
  • Perform services professionally and ethically.

Healthcare facilities agree to:

  • Provide accurate shift information.
  • Maintain a safe work environment.
  • Comply with applicable employment and healthcare laws.
  • Verify credentials where required.

6. Payments

If payments are processed through EchoSOS, users agree to applicable fees and payment terms presented during the transaction.

7. Prohibited Conduct

Users may not:

  • Submit false information.
  • Misrepresent credentials.
  • Attempt unauthorized access.
  • Upload malicious software.
  • Use EchoSOS for unlawful purposes.
  • Interfere with platform operations.

8. Intellectual Property

All EchoSOS software, branding, logos, text, graphics, and content are owned by EchoSOS or its licensors and are protected by applicable intellectual property laws.

9. Disclaimer

EchoSOS provides a marketplace platform. We do not guarantee employment, staffing availability, shift fulfillment, or uninterrupted platform availability.

10. Limitation of Liability

To the fullest extent permitted by law, EchoSOS shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from use of the platform.

11. Indemnification

Users agree to indemnify and hold EchoSOS harmless from claims arising from their use of the platform, violation of these Terms, or applicable law.

12. Termination

EchoSOS may suspend or terminate accounts that violate these Terms or applicable laws.

Users may stop using the platform or request account deletion at any time.

13. Governing Law

These Terms are governed by the laws of the jurisdiction in which EchoSOS operates, without regard to conflict of law principles.

14. Changes to These Terms

EchoSOS may update these Terms from time to time. Continued use of the platform after changes become effective constitutes acceptance of the revised Terms.

15. Direct Hire (Placement) Fee

EchoSOS invests significant time and resources in recruiting, screening, credential verification, and introducing qualified cardiac sonographers, cardiac physiologists, and other healthcare professionals to participating clinics.

If the Client directly or indirectly hires, employs, contracts with, engages, or otherwise retains any healthcare professional first introduced through the EchoSOS platform, whether as an employee, independent contractor, consultant, or through another entity, during the term of this Agreement or within twelve (12) months following the professional's last assignment arranged through EchoSOS, the Client agrees to pay EchoSOS a one-time Direct Hire (Placement) Fee of $299.99.

The Direct Hire (Placement) Fee is due within thirty (30) days of the earlier of:

  • The date the healthcare professional accepts an offer of employment or engagement;
  • The date the healthcare professional commences providing services to the Client outside of the EchoSOS platform.

Payment of the Direct Hire (Placement) Fee authorizes the Client to engage the healthcare professional directly without further obligation to EchoSOS in relation to that professional.

This provision does not restrict the healthcare professional's ability to seek or accept employment. Rather, it is intended solely to compensate EchoSOS for the recruitment, credential verification, and placement services that resulted in the introduction of the healthcare professional to the Client.

The Direct Hire (Placement) Fee is waived for clinics subscribed to an annual (yearly) EchoSOS Membership plan.
